General Terms and Conditions of Sale

Preamble

These terms and conditions are entered into exclusively between CORNILLEAU SAS, a simplified joint-stock company with share capital of €1,153,800, whose registered office is located at La Folie – 14 route Nationale – 60120 Bonneuil les Eaux, registered with the Beauvais Trade and Companies Register under number 526 920 194, hereinafter referred to as “CORNILLEAU” or “the Company”, and any non-professional, adult, legally competent natural person visiting or making a purchase via the website nl.cornilleau.com, hereinafter referred to as “the Internet User” or “the Customer”.

The parties agree that their relationship shall be governed exclusively by these general terms and conditions of sale, which are available on the website nl.cornilleau.com.

These terms and conditions may be amended. It is therefore understood that the applicable terms and conditions are those in force on the website at the time the contract is entered into.

Finally, these general terms and conditions of sale define the sale arrangements between CORNILLEAU and the Internet User. They set out the various steps to be followed in order to place an order on this website. The date on which these General Terms and Conditions of Sale are published online shall be deemed to be their effective date.

These General Terms and Conditions of Sale, together with the preamble forming an integral part thereof, apply to all sales of products and services provided by our Company. Consequently, placing an order by the Customer implies the latter’s unconditional acceptance of these terms and conditions, which shall prevail over any other document issued by the Customer, and in particular over any general terms and conditions of purchase.

ARTICLE 1 – CONTRACT

The Internet User declares that they are 18 years old and have the legal capacity to enter into a contract on our website nl.cornilleau.com and to comply with these general terms and conditions of sale, or that they hold parental authorisation allowing them to place an order on the website nl.cornilleau.com.

The order placement process by the Internet User takes place in several steps defined below:

- the Internet User fills in the identification form on which they will indicate all the requested contact details or provide their Customer number if they have one,

- the Internet User completes their online order form by providing all references for the selected products or services,

- the Internet User chooses their delivery method,

- the Internet User chooses their method of payment,

- the Internet User confirms their order after checking it,

- the Internet User submits their payment request and makes the payment,

- the Internet User then receives from CORNILLEAU an email confirming their order and payment, together with the related invoice.

The order confirmation email signifies CORNILLEAU’s acceptance of the Internet User’s order and thus forms the sales contract between the parties.

The online provision of the bank card number and the final validation of the order by the Internet User shall constitute proof of the completeness of the order. This validation shall constitute signature and acceptance of all transactions carried out on the website by the Internet User.

In the case of an order whose amount exceeds €150, as well as in the context of anti-fraud controls aimed at securing its customers’ transactions, CORNILLEAU shall be entitled to request that the Internet User provide one or more proofs of address and/or a copy of an identity card by email or fax before validating the order. The order shall then become final only upon receipt by CORNILLEAU of these documents and sending of the confirmation email. In the absence of receipt of these documents, or if they do not make it possible to identify with certainty the identity of the person who placed the order and the reality of their place of residence, CORNILLEAU reserves the right not to accept the order.

CORNILLEAU also reserves the right to check and/or refuse an order if there is a previous ongoing dispute or an abnormally high order level with the Internet User.

Unless proven otherwise, the electronic records of CORNILLEAU and those of its service providers, kept under reasonable security conditions, shall constitute proof of all transactions carried out between CORNILLEAU and the Internet User.

The Company also archives order forms and invoices on a reliable medium. In accordance with statutory provisions, the Internet User may access them by making a request by post to CORNILLEAU and enclosing the order form together with the invoice.

CORNILLEAU recommends that the Internet User keep the confirmation email of their order and payment. CORNILLEAU will also subsequently send them an email confirming shipment of their order.

ARTICLE 2 - PRODUCTS

CORNILLEAU makes every effort to describe and present the items sold on the website as accurately as possible. However, certain product characteristics may be slightly modified, particularly in order to improve quality or safety. Nevertheless, should any errors have occurred, CORNILLEAU may in no event be held liable on that account.

Likewise, the product photographs published on nl.cornilleau.com are non-contractual. In no event may CORNILLEAU be held liable on the basis of such photographs.

With regard more particularly to packaging, all our tables are packaged in two different ways:

- individually: each table is packaged unassembled in an individual reinforced cardboard box.

- individually assembled: each table is assembled and packaged on an individual pallet

Our spare parts and accessories are packaged in such a way that their protection is fully ensured during transport

ARTICLE 3 - PRICING

All prices displayed on the website are indicated in euros, excluding shipping costs, and include all charges applicable in mainland France. VAT is applied at the rate in force at the time of the order. Any change in the rate shall be applied immediately to the current order.

Product prices are exclusive of shipping costs, the cost of certain packaging, or the price of other optional services subscribed to by the Internet User, which remain additional. These shall be brought to the Internet User’s attention on the summary screen before final validation of the order.

The amount of shipping costs is mentioned at the time the order is validated by the Internet User; it includes:

- administrative processing of the order,

- preparation and shipment of the parcel(s),

- transport costs.

ARTICLE 4 – AVAILABILITY

Our product and price offers are valid for as long as they are visible on the website. The Internet User is therefore invited to check the availability of the items sold on the information page for each product.

Consequently, CORNILLEAU does not in any event guarantee that products will remain on sale for a given period. Any claim by the Internet User relating to the order or delivery of an unavailable item shall be considered unfounded and shall in no way engage CORNILLEAU’s liability.

In the event of a validated order for which a product or item has become unavailable within the timeframes announced on the website, the entire order shall only be processed and shipped once all products in that order are available. CORNILLEAU shall then inform the Internet User of this additional delay. The Internet User may, however, choose to receive the available items from their order as a priority;

However, if it turns out that this product is permanently unavailable, CORNILLEAU shall inform the Internet User of such unavailability. The Internet User shall then have to choose between:

- cancelling the entire order: CORNILLEAU shall cancel the whole order and undertakes to re-credit the Internet User’s account associated with the bank card number provided.

- or receiving the available products ordered: the Internet User shall then only be liable for the amount of the products shipped, as well as the shipping costs related to the sending of those products and the amount of the services they have chosen. CORNILLEAU shall partially cancel the order and undertakes to re-credit the Internet User’s account associated with the bank card number provided.

In either case, should there be any blockage or impossibility whatsoever in re-crediting the Customer’s account, a cheque shall be sent to them by CORNILLEAU’s customer service department.

ARTICLE 5 – DELIVERY

The products may be delivered anywhere in mainland France and Corsica, except to a freight forwarder. They shall be delivered to the delivery address provided by the Internet User when placing the order.

For parcel tracking reasons, CORNILLEAU reserves the right to refuse delivery of private individuals’ orders to collective addresses such as barracks, military premises, hospitals, holiday clubs, etc.; this list is not exhaustive.

The delivery times announced on the website apply from the moment the Internet User receives the email confirming shipment of their order sent by CORNILLEAU. In accordance with the provisions of Article L216-1 of the French Consumer Code, the delivery date indicated when the order is placed constitutes the deadline by which the Company undertakes to deliver the products to the Customer, it being specified that carriers do not deliver on Saturdays, Sundays or public holidays. The following are not included in the carrier’s service: unloading, installation, assembly, upstairs delivery. Additional shipping charges may be requested in the case of deliveries to islands, high-altitude resorts and generally locations that are difficult to access by truck.

In the event that the expected delivery time is exceeded, the Customer is entitled, pursuant to Article L216-2 of the French Consumer Code, to send the Company a formal notice by registered letter with acknowledgement of receipt requiring it to deliver the ordered products within a reasonable additional period. If the Company still fails to do so, the contract may be terminated by operation of law by the Customer by means of a new letter sent to the Company notifying it of this decision, effective upon receipt of said letter. The sums paid by the Customer shall then be refunded to them no later than fourteen days following the date of termination of the contract, excluding any compensation or deduction.

The transfer of the risk of loss and damage shall take place upon delivery to the Customer. In the event of unjustified refusal on delivery of all or part of the ordered goods, CORNILLEAU reserves the right to invoice transport and the costs incurred.

In the event of anomalies occurring during transport (damaged packaging, missing items or damage), it is the recipient’s responsibility to:

- make all necessary reservations upon delivery on the delivery receipt;

- confirm them to the carrier by registered letter with acknowledgement of receipt within three days following receipt of said goods.

- report them to CORNILLEAU within the same period, in accordance with the provisions of Article 8.

The absence of signed reservations upon receipt of the goods by the Customer extinguishes any claim.

The procedure and CORNILLEAU’s contact details are indicated on the website. Failing compliance with the reservation or claims procedure, no claim may be brought by the Customer against CORNILLEAU.

ARTICLE 6 – TAKE-BACK OF YOUR OLD EQUIPMENT

The Internet User may pay for their purchases by bank card using a Carte Bleue, Visa or Mastercard.

The Internet User’s bank account shall be debited for the amount of the products and services selected by them within 48 hours following payment, subject to the value dates applied by banking institutions. CORNILLEAU guarantees the security of payment by bank card by using the payment system made available by ADYEN for payment processing.

In the event of a payment objection or any refusal by the Bank to honour the payment, the order placed by the Internet User shall be automatically cancelled and the Internet User informed by email.

ARTICLE 8 - RIGHT OF WITHDRAWAL

In accordance with the legal provisions in force, the Customer, if they are a non-professional natural person, has a withdrawal period of fourteen (14) days from delivery of their order to return the product to CORNILLEAU for exchange or refund without penalty, with the exception of return costs.

If the Internet User wishes to exercise their right of withdrawal, they simply need to exercise this right by completing the following form: WITHDRAWAL FORM. CORNILLEAU shall subsequently provide them with the procedure to follow in order to return the product.

The Customer wishing to exercise their right of withdrawal must return the products, under the conditions defined in Article 8 below, no later than 14 days following the date on which their withdrawal notification was sent to the Company’s address.

CORNILLEAU shall reimburse the Internet User by any means for the price of the product and the initial shipping costs within a maximum period of 8 days from receipt of the parcel, provided that the product is returned complete, in perfect condition and in its original packaging.

In the event of a partial return of the order, CORNILLEAU shall reimburse the Customer for shipping costs in proportion to the total amount of the order.

In the event of a full return of the order, CORNILLEAU shall reimburse the Customer for the total amount of shipping costs paid when the order was placed.

All return shipping costs of the product to CORNILLEAU, as well as all costs and risks attached to such return, remain payable by the Customer.

If, however, a problem should arise regarding collection by the Customer of the delivered order, in particular a problem with the delivery address provided by the latter resulting in a return to CORNILLEAU, CORNILLEAU shall then contact them to validate the reshipment of the order. Therefore:

- in the absence of a response from the Customer within 15 days following this reminder, CORNILLEAU shall consider that the Customer has exercised their right of withdrawal in relation to that order;

- in the event of a positive response requesting reshipment within this fifteen-day period, CORNILLEAU reserves the right to charge the Customer the shipping costs of this new shipment.

ARTICLE 9 – RETURNS

With the exception of the right of withdrawal referred to in Article 7, the Internet User may be required to return their product only for the following reasons: item unsatisfactory because it does not conform to the order, missing item, defective item or item damaged during transport.

The Internet User must imperatively check the condition of the parcel and of the products inside the parcel upon delivery and must make all necessary reservations on the delivery note, according to the procedure described in Article 5. Failing this, no claim may be brought by the Internet User against CORNILLEAU.

The Internet User has three days from receipt of the parcel to inform CORNILLEAU of their claim by connecting to their order via the contact area of the website. CORNILLEAU shall then provide them with the procedure to follow in order to make the return.

The Internet User must also enclose with their return parcel a copy of the documents relating to the defective delivery (delivery note, reservations, order number) in order to allow their claim to be processed.

The Internet User is also invited to contact CORNILLEAU’s Customer Service within the same three-day period. Customer Service may then, where applicable:

- cover the costs necessary for returning the product.

- assist the Internet User in exchanging the Product or placing a new order for a conforming product and organising shipment thereof at their expense, subject to availability in stock of the requested product.

If the ordered Product is no longer available on the return date, CORNILLEAU shall refund the missing Product and outward shipping costs on a pro rata basis relative to the global order.

If the return is not validated by CORNILLEAU, in particular if reservations were not stated on the delivery note and if a copy thereof was not enclosed with the return, then such return shall be regarded as a non-compliant return and treated as such.

The Customer is responsible for the method of packaging their product, which must be carried out in such a way that the product can travel without risk of breakage or damage. Generally speaking, all risks related to returning the product are borne by the sender. The Customer remains free to choose the method of sending back the order and whether or not to take out any related insurance, particularly in the event of theft, loss or destruction of the parcel. Under no circumstances may CORNILLEAU be held liable for failure to receive a parcel sent by the Customer.

Only products returned complete, in perfect condition and in their original packaging shall be accepted. Otherwise, the return shall be considered a non-compliant return and treated as defined in Article 10 of these General Terms and Conditions of Sale.
